01Agreement to these terms

These Terms of Use (“Terms”) form a binding agreement between you and DiasporaShield(“DiasporaShield”, “we”, “us”) and govern your access to and use of our website, web platform and related services (together, the “Platform”).

By creating an account, signing in with Google, Apple or Facebook, or otherwise using the Platform, you confirm that you have read, understood and accepted these Terms, together with our Privacy Policy, Cookies Policy, Delivery Policy and Refund Policy, which form part of these Terms. If you do not agree, you must not use the Platform.

02What DiasporaShield is, and is not

DiasporaShield is an investment intelligence, risk management and verification layer for diaspora and foreign investors in Kenyan and wider African real estate. We combine structured due diligence, AI-driven analysis and a marketplace of vetted professionals to reduce fraud and improve transparency for investors who cannot inspect a property in person.

  • We are not a property seller, agent or listings portal. Properties on the Platform are listed by independent developers. Any purchase is a transaction between you and the developer or seller, not with DiasporaShield.
  • We do not give financial, legal or investment advice. Our reports, risk scores and forecasts are tools to support your own decision.
  • We do not hold or transfer purchase funds. Payments on the Platform are for our services and for professional consultations only.

03Eligibility and accounts

  • You must be at least 18 years old and legally able to enter into a binding contract to use the Platform.
  • You must provide accurate, current and complete information when you register and keep it up to date, including your citizenship status, which directly affects the Kenyan property rules that apply to you.
  • Each account belongs to one person or, for developer and professional accounts, one organisation or practitioner. You may not share, sell or transfer your account.
  • If you register on behalf of a company, you confirm that you are authorised to bind that company to these Terms.

04Account security

  • You are responsible for keeping your password and any authenticator app or recovery codes confidential, and for all activity under your account.
  • We strongly recommend enabling two-factor authentication in your security settings. Certain sensitive actions may require it.
  • After repeated failed sign-in attempts, an account is locked temporarily to protect it.
  • You can review your active sessions and devices, and sign out any of them, from your security settings.
  • Tell us immediately at [email protected] if you suspect unauthorised access to your account.

05Terms for investors

  • You are solely responsible for your investment decisions. You should review verification reports carefully and obtain independent legal and financial advice before committing funds.
  • Kenyan law restricts what non-citizens may own. In particular, non-citizens cannot hold freehold title and are limited to leaseholds of up to 99 years, and agricultural land requires Land Control Board consent. The Platform flags these rules, but it is your responsibility to ensure any purchase complies with them.
  • Cross-border property investment carries risks, including market movements, currency exposure, regulatory change and limited liquidity. Past performance and AI scores do not guarantee future returns.
  • Unless you switch it off in your privacy settings, developers may see a limited, anonymised profile (first name, last initial, location and investment preferences) in their lead lists. They never see your contact details through this feature.

06Terms for developers

  • You must complete our know-your-customer and know-your-business checks before listing, and keep your company information accurate.
  • Every listing, document and statement you submit must be accurate, complete, not misleading and yours to share. You must hold the rights or authority to market each property you list.
  • You must disclose tenure, remaining lease term, land use classification, ownership structure and whether a project is off-plan, and keep this information current.
  • Listings are reviewed before publication and may be verified at any time. Changes to a live listing may require approval before they appear.
  • You must respond to verification requests promptly and truthfully and must not interfere with any verification.
  • Investor leads are provided to help you market genuine projects. You may not attempt to identify, contact or collect data about investors outside the Platform’s own features.

Fraud and misrepresentation

Submitting false or fraudulent information, forged documents, or listing a property you are not entitled to sell will lead to immediate suspension, permanent removal and blacklisting from the Platform, and may be reported to the relevant authorities.

07Terms for professionals

  • You must hold, and keep current, every licence, registration and practising certificate required for the services you offer, and provide evidence when asked.
  • You act as an independent professional, not as an employee or agent of DiasporaShield, and you remain solely responsible for the quality, accuracy and legality of your work and advice.
  • You must deliver accepted bookings with reasonable skill and care, within the agreed timeframe, and upload deliverables through the Platform.
  • DiasporaShield deducts a commission from fees paid for bookings made through the Platform, as shown in your professional account, before paying out the balance to you.
  • You must not ask clients you met through the Platform to pay you outside it for services arranged through the Platform.

08Verifications, reports and AI outputs

Verification reports are prepared from the documents, records and information available to us at the time, through automated checks, analyst review and, for the Physical tier, a site inspection. They state what an investor would own and how that interest can be sold or transferred.

  • A report reflects the position on the date it was completed. Ownership, encumbrances, approvals and market conditions can change afterwards.
  • We rely in part on third-party records and on information supplied by developers. While we check for inconsistencies and red flags, we cannot guarantee that third-party records are complete or accurate.
  • Risk scores, ROI forecasts and property matches are produced by deterministic models and rules. Each is shown with a label telling you whether it was model-computed or manually assessed, and none is a guarantee of title, value or future performance.
  • Some features, such as the support assistant and message suggestions, use artificial intelligence to generate text. Generated text may contain errors and must not be relied on as professional advice.

Delivery timelines for each verification tier are set out in our Delivery Policy.

09Fees and payments

  • Prices for verifications, subscription plans and consultations are shown before you pay, in Kenyan shillings or US dollars as displayed at checkout.
  • Payments are processed by M-Pesa, Stripe or Flutterwave. Card details are handled directly by the payment provider and never reach DiasporaShield’s servers.
  • A service starts only once the payment provider confirms your payment.
  • You are responsible for any charges your bank, card issuer or mobile money provider applies, including currency conversion fees.
  • Refunds are handled under our Refund Policy.

10Acceptable use

When using the Platform, you must not:

  • Provide false information, impersonate anyone, or create accounts for anyone other than yourself or an organisation you are authorised to represent.
  • Upload documents you are not entitled to share, or files containing malware. Every upload is scanned for viruses and infected files are rejected.
  • Scrape, copy, bulk download or harvest listings, reports, prices, user data or other content, or use automated tools to access the Platform without our written permission.
  • Attempt to bypass security controls, probe for vulnerabilities, access other users’ data, or disrupt or overload the Platform.
  • Use the Platform for money laundering, fraud, or any unlawful purpose, or to harass, threaten or mislead other users.
  • Reverse engineer, copy or resell any part of the Platform, including our models, scoring methods or reports.

11Your content and our intellectual property

You keep ownership of the documents and information you upload. You grant DiasporaShield a non-exclusive, worldwide, royalty-free licence to store, process, analyse and display that content to the extent needed to operate the Platform and provide the services you request, including verification, document analysis and sharing with the professionals you engage.

The Platform, including its software, design, scoring models, reports, text and trademarks, belongs toDiasporaShield or its licensors. A report you have paid for is licensed to you for your own investment decision. You may share it with your advisers, but you may not publish, resell or commercially exploit it.

12Suspension and termination

We may suspend or close an account, remove a listing, or restrict access to features if we reasonably believe that these Terms have been breached, that fraud or unlawful activity is involved, that a KYC, KYB or credential check has failed, or that suspension is needed to protect users or the Platform. Where appropriate and lawful, we will tell you why.

You may stop using the Platform and ask us to close your account at any time by contacting support. Some information must be kept after closure to meet legal, tax, audit and fraud prevention obligations, as explained in our Privacy Policy.

13Disclaimers and limitation of liability

  • The Platform is provided on an "as is" and "as available" basis. We do not promise that it will always be uninterrupted or error free.
  • We are not responsible for the conduct of developers, sellers or professionals, for the condition, title or value of any property, or for any investment decision you make.
  • To the fullest extent permitted by law, DiasporaShield is not liable for indirect or consequential losses, or for loss of profit, opportunity or investment returns.
  • To the fullest extent permitted by law, our total liability to you for any claim relating to a service is limited to the amount you paid for that service.

Nothing in these Terms limits any liability that cannot be limited by law, including liability for fraud or for rights you have as a consumer under applicable law.

14Indemnity

You agree to compensate DiasporaShield for any loss, claim or expense, including reasonable legal fees, arising from your breach of these Terms, your misuse of the Platform, or any content you submit that is inaccurate, unlawful or infringes someone else’s rights.

15Governing law and disputes

These Terms are governed by the laws of the Republic of Kenya. If a dispute arises, please contact us first so we can try to resolve it informally. If it cannot be resolved within 30 days, either party may refer it to the courts of Kenya, which will have exclusive jurisdiction, unless the law of the country where you live as a consumer gives you the right to bring proceedings there.

16Changes to these terms

We may update these Terms as the Platform or the law changes. The “Last updated” date above shows when they last changed. For material changes, we will notify signed-in users through the Platform or by email before the changes take effect. Continuing to use the Platform after that means you accept the updated Terms.
